1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you ("you") and R5 Industries, LLC ("Company", "we", "us", or "our"), concerning your access to and use of the https://r5.industries website, including all information and links provided herein (collectively, the “Site”). The Site is intended for users located within the United States. By accessing the Site, you agree to be bound by these Terms. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SITE. We may modify these Terms at any time; continued use after changes constitutes acceptance.

2. Purpose of Site

The Site serves as an informational hub providing an overview of R5 Industries, LLC and its affiliated, specialized business entities (r5i.tech, r5i.dev, r5i.digital, r5i.support, r5i.io, r5i.app). The purpose of the Site is to introduce our family of brands and direct users to the appropriate sub-business website for specific service information and engagement. Information on this Site is for general informational purposes only and does not constitute professional advice.

3. Intellectual Property Rights

Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, website designs, text, graphics, photographs, and logos on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned by or controlled by us or licensed to us, and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited license to access and use the Site and Content for personal, non-commercial informational purposes only. No part of the Site, Content, or Marks may be copied, reproduced, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our prior written permission.  

4. User Representations

By using the Site, you warrant that: (a) you have the legal capacity to agree to these Terms; (b) you are at least 13 years old (or older as required); (c) you will not access the Site via automated means (bots, scripts); (d) you will not use the Site for any illegal or unauthorized purpose; (e) your use complies with all applicable U.S. laws.

5. Prohibited Activities

You may not access or use the Site for any purpose other than that for which we make the Site available (i.e., obtaining general information about R5 Industries and its affiliates and accessing links to affiliate sites). As a user of the Site, you agree not to: (a) Systematically retrieve data or content without permission. (b) Engage in unauthorized framing of or linking to the Site (linking from the Site to affiliates is permitted as intended). (c) Interfere with Site functionality or security features. (d) Use the Site to advertise or offer to sell goods and services unrelated to R5 Industries. (e) Engage in any activity that could damage, disable, or impair the Site. (f) Use the Site in a manner inconsistent with applicable laws or regulations.  

6. Links to Affiliated and Third-Party Websites

The Site contains links to the websites of our affiliated business entities (r5i.tech, r5i.dev, r5i.digital, r5i.support, r5i.io, r5i.app), which are also operated or controlled by R5 Industries, LLC, as well as potentially links to other third-party websites or content ("Third-Party Content"). These links are provided solely as a convenience to you.

We do not investigate, monitor, or check affiliated or third-party websites for accuracy, appropriateness, or completeness. Your access and use of these affiliated and third-party websites are entirely at your own risk. You acknowledge and agree that we are not responsible or liable for: (a) The availability or accuracy of such websites or resources; (b) The content, products, services, terms of service, or privacy policies on or available from such websites. Inclusion of links does not imply any endorsement by us. Each affiliated R5i website operates under its own specific Terms of Service and Privacy Policy, which you should review carefully before using their services.  

7. Site Management

We reserve the right, but not the obligation, to monitor the Site for violations, take appropriate legal action, restrict access, and otherwise manage the Site to protect our rights and ensure proper operation.

8. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Site at any time without notice. We do not guarantee the Site will be available at all times and are not liable for any inconvenience caused by downtime.  

9. Disclaimers

THE SITE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SITE IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SITE’S CONTENT OR THE CONTENT OF ANY WEBSITES LINKED TO THE SITE (INCLUDING AFFILIATED R5i SITES). THE INFORMATION ON THIS SITE IS FOR GENERAL INFORMATION PURPOSES ONLY AND DOES NOT CONSTITUTE PROFESSIONAL ADVICE.  

10. Limitations of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA) ARISING FROM YOUR USE OF THIS INFORMATIONAL SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO $100.00 USD. CERTAIN US STATE LAWS MAY NOT ALLOW THESE LIMITATIONS. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.  

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Arizona, USA, without regard to its conflict of law principles. Any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity thereof, or the use of the Site (collectively, “Disputes”) shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules then in effect, except as modified herein. The arbitration shall be conducted in Maricopa County, Phoenix, Arizona, by a single arbitrator mutually agreed upon by the parties or, if no agreement can be reached, appointed in accordance with the AAA Rules. The language of the arbitration shall be English. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The parties agree to waive any right to litigate Disputes in court or participate in a class action or representative proceeding. This arbitration provision requires mandatory arbitration on an individual basis. 

12. Term and Termination

These Terms remain in effect while you use the Site. We reserve the right to deny access or terminate your use for any reason, including breach of these Terms, without notice or liability.  

13. Miscellaneous

These Terms and any policies posted by us on the Site (like the Privacy Policy) constitute the entire agreement regarding your use of this specific Site. Our failure to enforce any provision is not a waiver. These Terms operate to the fullest extent permissible by law. If any provision is unlawful or unenforceable, it is deemed severable, and the remaining provisions remain valid. No joint venture, partnership, employment, or agency relationship is created by these Terms or use of the Site.
